While registration renewal season officially kicked off on November 11, when preliminary statements were made available, and preliminary payments were due on December 9, we are still well in the midst of renewal season. And we thought now would be the perfect time to ring a few reminder bells.
Critical Registration Renewal Reminders
So, what are the critical upcoming dates and how can you prepare?
- December 26, 2024: LAST DAY to submit form filings to IARD/CRD and Web EFT prior to year-end. Form filings must be submitted by 6 p.m. ET, as IARD/CRD will be available from 5 a.m. to 6 p.m. ET.
- December 27, 2024: IARD/CRD unavailable due to Final Statement and renewals processing. FINRA Gateway is available.
- December 28 – December 31, 2024: IARD/CRD are available for query purposes and to create “Pending” filings. FINRA Gateway is available.
- January 1, 2025: IARD/CRD are unavailable due to renewals processing. FINRA Gateway is available.
- January 2, 2025: Final Statements are available through E-Bill and can be accessed through FINRA Gateway.
- January 22, 2025: RECOMMENDED Submit all final electronic renewal payments to ensure proper payment processing time.
- January 24, 2025: DEADLINE for receipt of Final Statement payment for all firms with balance due.
- March 17, 2025: RECOMMENDED All firms, whether registered at the SEC or state level, need to file the requisite Form ADV annual updating amendment within 90 days of the firm’s fiscal year-end. Firms with a traditional December 31 fiscal year-end have a deadline of March 31, 2025.
- March 31, 2025: DEADLINE All firms with a December 31 fiscal year-end must file the requisite Form ADV annual updating amendment.
Firms registered with the SEC will also need to pay the SEC Annual Updating Amendment Fee before filing the required Form ADV amendment. The SEC amendment fee for firms with over $100 million in assets under management (AUM) is $225. For SEC-registered firms with between $25-$100 million in AUM, the fee is $150 and for SEC-registered firms with less than $25 million in AUM, the fee is $40. As a reminder, these SEC annual amendment fees are charged in addition to the annual notice-filing and individual investment adviser registration fees which are charged to the SEC-registered firms by the relevant states.
